By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service. These Terms form a binding legal agreement between you and Sante Performance. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

The recipes are designed to support nutrition and fitness professionals, clients, or individuals in meal planning. Access to the full database requires a paid subscription. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.

It is not a substitute for professional medical advice, diagnosis, or treatment. 2. Eligibility and User Accounts

You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account. You may not:

We reserve the right to suspend or terminate your Account for any reason, including violation of these Terms.

3. Subscriptions and Payments

3.1 Subscription Plans

The Service offers subscription plans (e.g., monthly, annual) granting access to the Content ("Subscription"). Subscriptions auto-renew at the end of each term unless canceled. Pricing is available on the Site and may vary.

3.2 Billing and Payment

By subscribing, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis. You must provide valid payment information. All payments are in U.S. dollars and non-refundable except as stated below.

  • Auto-Renewal: Subscriptions renew automatically until canceled.

  • Price Changes: We may adjust prices with 30 days' notice via email or Site posting. Changes apply to your next renewal.

  • Taxes: You are responsible for any applicable taxes.

3.3 Cancellation

You may cancel your Subscription at any time through your Account settings on the Site. Cancellation takes effect at the end of your current term; no partial refunds are provided. To cancel, contact support at admin@santeperformance.co or use the Site's cancellation feature.

3.4 Refunds

We offer a 24 hour money-back guarantee for new Subscriptions purchased directly through the Site. To request a refund, contact us within 24 hours of your purchase date. After 24 hours, all fees are non-refundable.

4. Intellectual Property and License

4.1 Ownership

The Service, Content, Site, and all related materials (including recipes, text, graphics, logos, and software) are owned by Sante Performance or its licensors and protected by U.S. and international copyright, trademark, and other intellectual property laws.

4.2 Limited License

Subject to your compliance with these Terms and payment of Subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal or professional non-commercial use (e.g., meal planning for clients). You may not:

  • Copy, distribute, modify, or create derivative works of the Content.

  • Use the Content for commercial purposes without our written consent.

  • Reverse engineer, decompile, or disassemble any part of the Service.

All rights not expressly granted are reserved by us.

4.3 User Content

If the Service allows you to upload content (e.g., notes or customizations), you retain ownership but grant us a worldwide, royalty-free, perpetual license to use, modify, and distribute it for Service operation and improvement. You represent that your User Content does not infringe third-party rights.

5. User Conduct

You agree not to:

  • Use the Service for illegal purposes or in violation of any law.

  • Upload viruses, malware, or harmful code.

  • Harass, defame, or interfere with other users.

  • Attempt to gain unauthorized access to the Service or others' Accounts.

  • Scrape, spider, or systematically retrieve data from the Service.

We may monitor use and remove violating content without notice.

6. Disclaimers and Limitation of Liability

6.1 Disclaimers

The Service and Content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including accuracy, completeness, or fitness for a particular purpose. We do not guarantee uninterrupted access or error-free operation.

6.2 Limitation of Liability

To the fullest extent permitted by law, Sante Performance, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss, or personal injury) arising from your use of the Service, even if advised of the possibility. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Nutrition Disclaimer: Recipes may contain allergens or ingredients unsuitable for certain diets. You assume all risks related to dietary choices. We are not responsible for allergic reactions, health issues, or outcomes from following the Content.

7. Termination

We may terminate or suspend your access to the Service immediately, without notice, for violation of these Terms or non-payment. Upon termination, your right to use the Service ends, and you must cease all use. Sections surviving termination include ownership, disclaimers, liability, and governing law.

You may terminate by canceling your Subscription and deleting your Account.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Manhattan County. You waive any right to a jury trial or class action.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at insante.co. By using the Service, you consent to our data practices.

10. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Sante Performance.

  • Severability: If any provision is invalid, the remainder remains enforceable.

  • No Waiver: Our failure to enforce any right does not waive it.

  • Force Majeure: We are not liable for delays due to events beyond our control.

  • Assignment: We may assign these Terms; you may not without our consent.
